Gate Travel Terms of Use

Acceptance of Gate Travel Terms

Welcome to the Gate Travel operated by Gate and any of its affiliates, related body corporates ( “Company”, “we”, “us”, or “our”). These Terms of Use (“Gate Travel Terms”) constitute a legally binding agreement between Company and each registered or unregistered end user (each, a “User”, “you” or “your”) of the Gate Travel services provided through mobile apps (“Platform”) or such other URL as may be designated by Company from time to time, as well as any other related services or applications thereto (the “Gate Travel Services”).

Gate Travel is considered part of the “Services” as defined in Gate’s User Agreement (the “User Agreement”) at . The User Agreement is incorporated by reference into these Gate Travel Terms, and also govern your use and access of Gate Travel Services. All terms and references used in these Gate Travel Terms and which are defined and construed in the User Agreement, but are not defined or construed in these Gate Travel Terms, shall have the same meaning and construction in these Gate Travel Terms. In the event of any conflict or inconsistency between the Gate Travel Terms and the User Agreement, the Gate Travel Terms shall prevail with respect to the Gate Travel Service unless expressly stated otherwise.

Please carefully review these Gate Travel Terms and the User Agreement. By accessing and using Gate Travel, you are deemed to have read, understood, accepted, executed and agreed to be bound by these Gate Travel Terms (including the User Agreement as incorporated by reference herein). We may change or amend the Gate Travel Service or these Gate Travel Terms at any time at our sole and absolute discretion. Any changes to these Gate Travel Terms will be in effect as of the “LAST REVISED” date referred to at the top of this page. You acknowledge and agree that the form and nature of Gate Travel Services, and any part of it, may change from time to time without prior notice to you, and that we may add new features or remove existing features and change any part of Gate Travel Services.

The Gate Travel Services may be provided by other service providers designated by us. These Gate Travel Services are only provided in specific countries currently and will be expanded to other territories at our discretion. We reserve the right to choose at our sole and absolute discretion, the markets and jurisdictions to conduct business, and may restrict or refuse in our sole and absolute discretion at any time, the provision of Gate Travel Services in certain countries or regions (including but not limited to situations where such restrictions are required to ensure compliance with any applicable legal and regulatory obligations).

IF ANY PROVISION OF THESE GATE TRAVEL TERMS OR THE USER AGREEMENT OR ANY FUTURE CHANGES ARE UNACCEPTABLE TO YOU, DO NOT USE OR CONTINUE TO USE GATE TRAVEL SERVICES. YOUR CONTINUED USE OF GATE TRAVEL FOLLOWING THE POSTING OF ANY NOTICE OF ANY CHANGE TO THESE GATE TRAVEL TERMS SHALL CONSTITUTE YOUR ACCEPTANCE AND AGREEMENT TO SUCH CHANGE.

ARBITRATION NOTICE: THESE GATE TRAVEL TERMS CONTAIN AN ARBITRATION CLAUSE. WHEN YOU AGREE TO THE GATE TRAVEL TERMS YOU ARE AGREEING TO RESOLVE ANY DISPUTE BETWEEN YOU AND THE COMPANY BY MANDATORY BINDING ARBITRATION RATHER THAN IN COURT AND YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. PLEASE REVIEW CAREFULLY CLAUSE 14 BELOW FOR DETAILS REGARDING ARBITRATION.

The Platform allows Users to discover, search, book and pay for various products and services which are supplied, offered and/or operated by third parties (“Travel Suppliers”), which may include, without limitation:

lodging and temporary accommodation, including but not necessarily limited to hotels, hostels, serviced apartments, bed-and-breakfasts, rooms for rent, cottages and ryokans ( “Accommodations”);
air and air-related transport services (“Flights” );
activities and other experiences (“Activities”) (if any);

any combination of the above (“Combination”),

(each a “Travel Product”), through a convenient portal, the facilitation of which is individually and collectively provided to you as Gate Travel Services.

In some cases, we work with our affiliates and other third-party partners (“Partners”) to facilitate the listing and reservation of certain Travel Products. For example, we have partnered with Sleap AG, registered address at Dammstrasse 160, 6300 Zug, Switzerland, as a Partner to operate the Platform, process bookings, payments, and providing customer support. Where this is the case, the Partner’s terms and conditions of use and/or privacy policy will govern the relationship between you and our Partner for the booking of the relevant Travel Product(s). We may be paid a fee or commission by a Partner or Partners if you make a booking for such Travel Product(s).

Eligibility and Participation of Gate Travel Service

In order to be eligible to use the Gate Travel Services you must create and maintain an Account as required under our User Agreement and continue to meet all applicable requirements of maintaining such Account including without limitation providing your full legal name, country of residence and other KYC details that we may require from time to time.

Gate reserves the sole discretion to determine which payment method will be made available in conjunction with the Gate Travel Services.

You further also agree and acknowledge the following as conditions for using the Gate Travel Services:

agreeing with these Gate Travel Terms, as well as other legal documents if applicable;
agreeing with terms, agreements, privacy policies, rules and policies (if any) provided by third-party service providers which are necessary for you to enjoy certain services they provide on the Sites;
entering valid and accurate data, such as your Account, your name, country of residence, mobile phone number and other, as required by us; and
verifying your mobile phone number and/or additional identification information as indicated by our appointed processor or us.

You hereby declare that you are registering for Gate Travel on your behalf only and that you are not acting on behalf or account of a third party.

To be eligible to use any functionalities of the Gate Travel Services, you must (i) be at least 18 years and have the full right, power, and legal authority to enter into the Gate Travel Terms; (ii) be a resident of specific countries listed in the Sites; (iii) has a valid and active Account and/or other cryptocurrency accounts acceptable to us; and (iv) comply with other qualification requirements set forth in the Gate Travel Terms.

You acknowledge and agree that we and/or our appointed processors shall be entitled to, and you shall cooperate with and assist us and/or our appointed processor to, undertake identification, credit, anti-money laundering, counter-terrorism financing, KYC checks and other necessary checks and screenings required to comply with our internal compliance policies and applicable laws, at any time during your registration and use of service when our appointed processors or we deem necessary in our or their sole discretion.

You also acknowledge and agree that all information you provide to us must be complete, accurate and truthful at all times. You must update this information whenever it changes. We cannot be responsible for any financial loss arising out of your failure to do so. We and/or our service providers (if any) may also ask you at any time to confirm the accuracy of your information and/or provide additional supporting documents. You also acknowledge and agree that we may share such information with our service providers (if any), if our service providers require such information for legal and regulatory compliance purposes, or as part of the provision of the Services.

Features of Gate Travel

You may use the Platform to purchase Travel Product(s) through the payment methods made available at the time of transaction ( “Payment Instrument”). The availability of payment methods will depend on your country of residence and applicable local regulations. Certain payment options may be restricted or disabled in specific jurisdictions. We reserve the right to suspend or discontinue any of the available payment methods at our sole discretion and without prior notice.

Digital Assets payments via GatePay. Digital Assets payments are final and irreversible. Users must ensure the correct amount and wallet address is used when booking. GatePay Terms of Use shall govern this payment method, which is made available to you through our Platform.

FIAT payments operated by our Partner via Credit Card, Apple Pay, Google Pay, Klarna, WeChat Pay, and AliPay. Additional payment processing fees may apply to FIAT transactions and will be displayed at checkout. These fees are non-refundable, including in the event of user-initiated cancellations. Users shall comply with the terms and conditions of our Partner and terms and conditions of the relevant payment processes. Gate is not involved and shall not be liable for any FIAT payment processed for purchasing Travel Products.

You understand and agree that any complaints, claims, disputes, chargebacks or refunds in relation to the Travel Products will be resolved between Travel Suppliers and/or Partners and yourself, and we will not be responsible for any refunds made or to be made by such Partner and/or Travel Suppliers.

We may, at our sole discretion and without prior notice, limit, suspend, or otherwise restrict your ability to make bookings or use the Platform. Such actions may be taken, without limitation, if processing your transfers may result in a violation of applicable laws or regulations, if any transaction would cause you to exceed your applicable transaction or transfer limits, or if we are unable to verify your identity or the source of funds.

Transactions and transfers made using the Gate Travel Services may be subject to limits, determined by us from time to time at our discretion. Any transaction and transfer limits will be displayed in your Account.

Your use of the Platform

Our Platform is the property of Gate and our licensors (including but not limited to our Partners). To this end, we grant you a non-exclusive, non-transferable, non-sub-licensable, revocable and limited license to access our Platform to enjoy personal, non-commercial use of Gatre Travel Services in accordance with these Gate Travel Terms. Except for this limited license, we do not grant you any other rights or licenses with respect to our Platform. Any rights or licenses not expressly granted herein are reserved. You represent and warrant to us that your access to, and use of, our Platform is intended only for personal, non-commercial use.

When you submit a booking request, you represent and warrant to Gate that:

you have the full legal capacity to make the transaction (or have the authorization to do so from your legal guardian);
the Payment Instrument you are using to make the booking is your own or that you are authorized to complete the booking with it, and that there are sufficient funds to cover the cost of the booking transaction;
the payment details you provide us with in making a booking are fully correct;
you or your legal guardian, where applicable, will not resell any Travel Products booked through our Platform;
you or your legal guardian, where applicable, are not subject to any international sanctions program or restrictions;
if and when applicable, you will satisfy all your obligations, tax, withholding or otherwise, as required by applicable law.

We have stringent fraud detection and prevention mechanisms in place. In certain cases, we and/or our Partner may require additional information or verifications to validate and confirm your booking. If you choose not to submit the additional information or if we are not satisfied with the information received, your booking request will be cancelled because it is incomplete, and any amounts charged will be refunded. It is possible that a Travel Product will become unavailable during the fraud check, in which case the booking will no longer be available. You acknowledge and agree that Gate shall not be held liable in such circumstances.

You will not use the Platform for any purpose that is unlawful or prohibited by these Terms, or for any other purpose not reasonably intended by us. By way of example, and not as a limitation, you agree not to use our Platform and/or its content to:

resell any products or services booked or obtained via our Platform or for any commercial purpose unless expressly authorized in writing by Gate;
make false, fraudulent or speculative bookings on our Platform;
use manual or automated software or processes to monitor, copy, extract, export or otherwise scrape any material displayed on our Platform, including text, graphics, photographs, images, illustrations, audio, video, data, ratings, reviews and other information. Such manual or automated software or processes include datamining, scraping, spidering, indexing, storing or rehosting the content outside our Platform;
disassemble, reverse engineer, decompile or modify any software or application contained in or available on our Platform in whole or in part, or otherwise attempt to obtain or access the source code of our Platform;
interfere with or disrupt our Platform, or servers or networks connected to our Platform;
violate the security of any network, including cracking passwords or encryption codes, transferring or storing any illegal material, or otherwise obtaining the password, account or private information from any other User of our Platform;
obtain or attempt to obtain unauthorised access, via whatever means, to any of the Gate Group’s systems;
‘frame’, ‘mirror’ or otherwise incorporate any part of the Platform into any other website or deep-link to any portion of the Platform (including, without limitation, purchase paths) for any purpose without our express prior written permission;
post or transmit, or cause to be posted or transmitted: (a) any material that is libelous, defamatory, obscene, pornographic, abusive, offensive, fraudulent, misleading, harassing or profane; (b) malicious content including malware, Trojan horses, or viruses, or which otherwise interferes with any User’s access to our Platform; and (c) unsolicited mass mailings or other forms of spam, including junk mail or chain letters;
manipulate identifiers, including by forging headers, in order to disguise the origin of any posting that you deliver;
do anything else which could cause damage to the Platform and/or Gate or would otherwise have a negative impact on the Platform and/or Gate;
infringe any applicable law, statute, ordinance or regulation and any rights of us and/or any third party, including intellectual property rights or proprietary rights.

If, based on your user pattern, Gate suspects that you have performed any of the prohibited activities under these Gate Travel Terms, Gate has the right to block your user Account or deny your entitlement to any benefits under a loyalty program or promotions.

PLATFORM CONTENT AND AVAILABILITY

We make no guarantees as to the authenticity, accuracy or completeness of any content on our Platform, including content provided by other Users, Partners and/or Travel Suppliers. The displayed prices for our Travel Products are dynamic and can change during or after your search. Once you have a confirmed booking, as defined further below, subsequent changes in displayed prices will not affect the price of your booking. All information about Travel Products on our Platform, including but not limited to any ratings, rankings and reviews, is provided to us by the corresponding Partner and/or Travel Suppliers of such Travel Products, or their respective representatives including their distributors, channel managers and partners. We also make no guarantees that the content available on our Platform has not been altered through technical defects or by unauthorised third parties.

All content accessed by you using our Platform is at your own risk and you will be solely responsible for any damage or loss to any party resulting therefrom. Under no circumstance shall the Company be liable in any way for any loss or damage of any kind incurred in connection with the use of or exposure to any content accessed on our Platform, including but not limited to any errors or omissions, or any additions, removals, or modifications that we make on our Platform. We make no guarantee that our Platform will always be available or uninterrupted. We will not be liable to you for any loss or damage resulting from any unavailability or interruption of our Platform or Gate Travel Services.

Our Platform does not constitute and should not be regarded as a recommendation or endorsement of any Travel Product and/or Travel Supplier listed on our Platform. We hereby expressly disclaim any representation, warranty or undertaking in relation to the quality, status, features, or adequacy of any Travel Product and Travel Supplier listed on our Platform. We may from time to time offer certain programs under which Travel Suppliers may improve their Travel Product’s visibility on our Platform, including but not limited to through sponsored listings. Such Travel Product listings will be marked or contain wording for clarity.

BOOKINGS

When making a booking for any Travel Product through our Platform, that booking is made directly with the Travel Supplier(s) named on the booking page. Our Platform and/or Partner only act as a facilitator of such bookings. We do not provide, own or control any of the Travel Products that you can access through our Platform and we have no obligation to provide or operate the Travel Products. The Travel Products are owned, controlled or made available by the Partner and/or Travel Suppliers either directly or as an agent. The Travel Suppliers are responsible for their respective Travel Products. Your interaction with any Travel Supplier through our Platform is at your own risk. Gate does not bear any responsibility should anything go wrong during your travel or your use of the Travel Product.

When you submit a booking through our Platform, you make an offer to book the specified Travel Product(s) subject to these Terms (“Booking Request”). The Travel Product shall be supplied by the Travel Supplier to you and the terms and conditions applicable to that Travel Product shall be between you and the Travel Supplier and shall be a separate binding contract pursuant to these Gate Travel Terms between you and the relevant Travel Supplier once accepted by such Travel Supplier and subsequently communicated to you via a confirmation email from our Partner (“Confirmed Booking”). Submission of your Booking Request does not indicate a Confirmed Booking and only indicates that your Booking Request has been received by our Gate or our Partner for processing.

In some cases, our Partner may provide you with a confirmation number in the confirmation email (“Booking Confirmation Number”). Depending on the policy of the Travel Supplier, the confirmation may also contain a voucher for redemption (“Booking Voucher”). Neither we nor the Travel Supplier will be responsible for Booking Confirmation Numbers or Booking Vouchers that are lost, stolen, mutilated, damaged or destroyed.

The relevant Travel Supplier(s) may impose additional terms and conditions, rules and restrictions (each a “Travel Supplier Terms”) that will be applicable to your Confirmed Booking, including in relation to changes, cancellations and refunds. You will be provided with the name of each Travel Supplier and in some cases, the applicable Travel Supplier Terms or a link to their Travel Supplier Terms, during the booking process. As the Travel Supplier Terms applicable for each Travel Product may vary, you should ensure that you fully understand and accept all of the applicable Travel Supplier Terms before completing your booking. If you are booking on behalf of other persons, you are required to ensure that they are aware of and agree to the applicable Travel Supplier Terms. If you fail to comply with the Travel Supplier Terms, the Travel Supplier has a right to refuse or cancel your booking without offering any refunds. For enquiries about the Travel Supplier’s products and services or its Travel Supplier Terms, please contact the Travel Supplier directly. Some bookings may be non-refundable or may include additional change fees. Users are responsible for reviewing fare rules before completing a booking.

Except where prohibited by local law, Gate has the right to reject any Booking Request, and cancel any Confirmed Booking, including on behalf of the Travel Supplier, or any part thereof, without reason. If you have already made payment, we shall refund you the amounts paid in respect of such rejected or cancelled parts, unless:

you are in breach of these Terms or any applicable law;
the Travel Supplier Terms do not allow for refunds; or
Gate deems in its sole discretion that you are not entitled to a refund due to reasons including but not limited to suspected fraud or abuse.

Fees

In consideration of the Gate Travel Services we provide to you, certain fees may apply for completed payments and we reserve the right to adjust our pricing and fees at any time.

Additionally, please note that in certain instances when you use Gate Travel Services, there may also be a need for us to perform a cryptocurrency conversion, in order to enable service delivery to you. In such instances, the applicable rates of any such conversion may also include a spread. When such fees or cryptocurrency conversion is applicable, the relevant fees/conversion rate will be displayed to you for your consideration. You must confirm your acceptance to such fees/rates, before the transaction will be completed. You also authorize us to deduct any applicable fees from your Account.

Unless otherwise provided by us, the fees mentioned above do not cover any additional fees to be charged by the third-party service providers or governmental authorities, including but not limited to network charges, taxes and foreign exchange costs, which may be declared by such third-party service providers or governmental authorities via separate legal documents and may be different when applied for different service providers and different regions. You further authorize us to deduct any of the foregoing third-party or compulsory charges from your Account or any associated sub-accounts when necessary.

Third Party Service Providers

We may, at our discretion, rely on third party service providers ( “Third Party Service Providers”) to provide regulated and unregulated financial or payment services, including exchange or conversion, settlement and other services in connection with your use of the Gate Travel Services (“Additional Services”). In order to access or otherwise use the Additional Services, you may be required to agree to the other terms and conditions that are applicable to the Additional Services, which may be updated by us or such Third Party Service Providers from time to time at our or their sole discretion.

We are not responsible or liable for any loss or damage of any sort that may arise directly or indirectly out of your use of the Additional Services. You understand and agree that your use of the Additional Services is at your own risk and you hereby accept all risk of loss or damage that may arise directly or indirectly from using the Additional Services.

You acknowledge and agree that the Third Party Service Providers are entitled to, and you will cooperate with the Third Party Service Providers to, undertake identification, credit, anti-money laundering, counter-terrorism financing, know-your-customer and other necessary checks and screenings required to comply with internal compliance policies and Applicable Laws, at any time during your registration and use of Pay Services and Additional Services when we or the Third Party Service Providers deem necessary in our or their sole discretion.

Assumption of Risks

By accessing and/or using Gate Travel Services, you hereby unconditionally and irrevocably confirm that you understand and accept any and all associated risks with your access to, and use of, Gate Travel Services including, without limitation and have carefully assessed whether, and determined that, Gate Travel Services are appropriate for you.

We do not make any representation or warranty that the Gate Travel Services are appropriate (a) for any User or in any location, or (b) that the transactions, services and/or Travel Product described in these Gate Travel Terms are (or will continue to be) available or appropriate for any user or in any location. You are strongly encouraged to carefully review these Gate Travel Terms and seek independent professional advice as to whether the Gate Travel Services are appropriate for you having regard to your personal circumstances and objectives, financial position and risk tolerance.

It is your responsibility to ensure that you satisfy all applicable legal requirements when entering a country or territory, including its visa and health requirements. As these requirements are subject to change without notice, Gate recommends that you review travel prohibitions, warnings, announcements and advisories and verify with the appropriate consulate prior to booking and again before departure. It is your responsibility to ensure that you are either insured by your own insurance company, or by the Travel Suppliers who may provide insurance coverage. Gate takes no responsibility in the insurance process and recommends that you are sufficiently covered with a comprehensive travel insurance policy prior to departure.

By displaying Travel Products in or to particular destinations, Gate does not represent or warrant that travel to such destinations is advisable or risk-free and Gate shall not be held liable for damages or losses that may result from travel to such destinations. You are strongly advised to check the relevant travel advisories issued by your government for any country you are visiting and to take the necessary precautions.

Your representations and warranties

You represent, warrant, agree and undertake that:

You shall only use the Gate Travel Services in good faith and in accordance with the functionalities of the Platform. You agree to use the Gate Travel Services only as permitted the Gate Travel Terms, the User Agreement and any other terms as may be agreed between you and Gate;

You shall under no circumstances use the Gate Travel Services for activities which involve or may involve any of the following:

breach of the Gate Travel Terms (including, without limitation, providing false identifying data, such as false names, email address, multiple mobile numbers or other data, with attempting or resulting in the opening of multiple Accounts for a single user or avoiding any restrictions imposed by us in another way);
breach or risk of breach by you of any law, statute, contract, or regulation applicable (including without limitation, IP laws, or those governing payment and financial services including anti-money laundering or terrorist financing, or similar regulatory requirements, including where we cannot verify the identity or other data about you according to our internal regulatory requirements of, consumer protections, unfair competition, anti-discrimination, gambling, false advertising, illegal sale or purchase or exchange of any goods or services according to all applicable laws);
abuse of the Gate Travel Services;
use of the Gate Travel Services in a manner that results in or may result in complaints, disputes, claims, fees, fines, penalties and other liability to us or any of our branches or agents, affiliates;
intercepting or monitoring, damaging or modifying any communication that is not intended for you or use any type of spider, virus, worm, trojan-horse or any other codes or instructions that are designed to distort, delete, damage, emulate or disassemble the Gate Travel Services and/or the Platform;
use the Gate Travel Services in connection with any other underlying illegal operation such as but not limited to collection or harvesting any personally identifiable information; or
use the Gate Travel Services in connection with any other underlying illegal operation such as but not limited to collection or harvesting any personally identifiable information; oruse of the Gate Travel Services for any sale or purchase of goods and/or services, which are not acceptable to us as published on the Platform or as instructed in writing by us.

You are not (or subsequently become) a person barred from receiving the Gate Travel services under any applicable laws or regulations, the requirements of any service provider or merchant, the User Agreement, or any other rules or policies.

Indemnity

You will indemnify and hold the Company and its officers, directors, employees and agents, harmless from and against any and all claims, disputes, demands, liabilities, damages, losses, and costs and expenses (including, without limitation, reasonable legal and accounting fees) arising out of or in any way connected with (a) your access to or use of the Gate Travel Services; (b) breach of your representations and warranties herein; or (c) your violation of these Gate Travel Terms. You may not settle or otherwise compromise any claim subject to this Section without the Company’s prior written approval.

Disclaimers

THE GATE TRAVEL SERVICES, ANY CONTENT CONTAINED THEREIN AND ON THE PLATFORM, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY (AND ITS PARTNERS AND TRAVEL SUPPLIERS) MAKE NO WARRANTY THAT THE SERVICES: (I) WILL MEET YOUR REQUIREMENTS; (II) WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; OR (III) WILL BE ACCURATE, RELIABLE, COMPLETE, LEGAL, OR SAFE. THE COMPANY DISCLAIMS ALL OTHER WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AS TO THE SERVICES AND ANY CONTENT CONTAINED THEREIN.

WE FURTHER EXPRESSLY DISCLAIM ALL LIABILITY OR RESPONSIBILITY IN CONNECTION WITH THIRD PARTY SERVICES. NOTHING HEREIN NOR ANY USE OF THE SERVICES IN CONNECTION WITH THIRD PARTY SERVICES CONSTITUTES OUR ENDORSEMENT, RECOMMENDATION OR ANY OTHER AFFILIATION OF OR WITH ANY THIRD PARTY SERVICES.

THE COMPANY DOES NOT REPRESENT OR WARRANT THAT ANY CONTENT ON THE GATE TRAVEL SERVICES IS ACCURATE, COMPLETE, RELIABLE, CURRENT OR ERROR-FREE. WE WILL NOT BE LIABLE FOR ANY LOSS OF ANY KIND FROM ANY ACTION TAKEN OR TAKEN IN RELIANCE ON MATERIAL OR INFORMATION CONTAINED ON THE SERVICES. WHILE THE COMPANY ATTEMPTS TO MAKE YOUR ACCESS TO AND USE OF THE SERVICES AND ANY CONTENT THEREIN SAFE, THE COMPANY CANNOT AND DOES NOT REPRESENT OR WARRANT THAT THE SERVICES, ANY CONTENT THEREIN, OR OUR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE CANNOT GUARANTEE THE SECURITY OF ANY DATA THAT YOU DISCLOSE ONLINE. YOU ACCEPT THE INHERENT SECURITY RISKS OF PROVIDING INFORMATION AND DEALING ONLINE OVER THE INTERNET AND WILL NOT HOLD US RESPONSIBLE FOR ANY BREACH OF SECURITY.

THE GATE TRAVEL SERVICES MAY NOT BE AVAILABLE DUE TO ANY NUMBER OF FACTORS INCLUDING, BUT NOT LIMITED TO, PERIODIC SYSTEM MAINTENANCE, SCHEDULED OR UNSCHEDULED, ACTS OF GOD, UNAUTHORIZED ACCESS, VIRUSES, DENIAL OF SERVICE OR OTHER ATTACKS, TECHNICAL FAILURE OF THE SERVICES AND/OR TELECOMMUNICATIONS INFRASTRUCTURE OR DISRUPTION, AND THEREFORE WE EXPRESSLY DISCLAIM ANY EXPRESS OR IMPLIED WARRANTY REGARDING THE USE AND/OR AVAILABILITY, ACCESSIBILITY, SECURITY OR PERFORMANCE OF THE SERVICES CAUSED BY SUCH FACTORS. WE DO NOT MAKE ANY REPRESENTATIONS OR WARRANTIES AGAINST THE POSSIBILITY OF DELETION, MISDELIVERY OR FAILURE TO STORE COMMUNICATIONS, PERSONALIZED SETTINGS OR OTHER DATA.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY OR ITS SERVICE PROVIDERS HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE COMPANY AND ITS AGENTS, REPRESENTATIVES, AND AFFILIATES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES EXCEED THE AMOUNTS YOU HAVE PAID OR ARE PAYABLE BY YOU FOR USE OF THE GATE TRAVEL SERVICES OR ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO THE COMPANY, AS APPLICABLE.

Governing Law and Dispute Resolution

These Gate Travel Terms and any action related thereto will be governed by and construed in accordance with the laws of the Republic of Panama without regard to the principles of conflicts of laws thereof.

Any dispute arising out of or in connection with these Gate Travel Terms (including any dispute or claim relating to: (i) the existence, validity or termination of these Gate Travel Terms; and (ii) any non-contractual obligations arising out of or in connection with these Gate Travel Terms (“Dispute”) shall at first instance be referred to and resolved amicably through negotiation. In the event that the Dispute fails to be resolved by negotiation within thirty (30) days from the initiation of such negotiations by issuance of a notice of Dispute by one party to the other party, such Dispute shall be referred to and finally resolved by arbitration in Panama to the exclusion of the ordinary courts, in accordance with the Arbitration Rules of the International Chamber of Commerce for the time being in force which rules are deemed to be incorporated by reference in this clause. The seat of arbitration shall be Panama. The arbitration tribunal shall consist of one arbitrator. The language of the arbitration shall be in English. Following the commencement of arbitration, you agree that you will attempt in good faith to resolve the Dispute through mediation. Any settlement reached in the course of the mediation shall be referred to the then-seating arbitral tribunal and maybe made a consent award on agreed terms.

Miscellaneous

Translation. We may in its sole and absolute discretion translate these Gate Travel Terms into a language other than the English language. You agree that any such translation shall be for your convenience and reference only and the English text shall prevail in the event of any ambiguity, discrepancy or omission as between the English text and any translated text.

Amendments. Gate reserves the unilateral right to alter, revise, modify, and/or amend these Gate Travel Terms and the terms, conditions, and specific features of the Gate Travel Service as it deems necessary or desirable without prior notice to you. Such amendments shall be made in accordance with prevailing industry standards, operational requirements, and in response to feedback, technological advancements, or strategic direction changes. Any such amendments will take effect immediately upon being published on the Sites. It is your responsibility to regularly check relevant pages on the Sites to confirm the latest version of these Gate Travel Terms. We may but are not obligated to notify you of updates to these Gate Travel Terms via email or website announcement. Your continued access and use of the Sites and any Services following any amendments to these Gate Travel Terms shall indicate your acceptance of such amendments. If you do not agree to any such amendments, you should immediately terminate your access to your Account and cease to use any of the Gate Travel Services.

Assignment. You may not assign or transfer any right or obligations under these Gate Travel Terms without prior written consent from us, including any right or obligation related to the enforcement of laws or the change of control. We may assign or transfer any or all of its rights or obligations under these Gate Travel Terms, in whole or in part, without notice or obtaining your consent or approval.

Waiver. No failure or delay by the Company in exercising any right, power or remedy it is entitled to under these Gate Travel Terms or by stipulation of law or regulation shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise of such rights, power or remedies.

No offer to U.S. persons. The content contained on the Sites does not constitute an offer or sale of securities in or into the United States, or to or for the account or benefit of U.S. persons, or in any other jurisdictions where it is unlawful to do so. Transfer of tokens may be subject to legal restrictions under applicable laws. Under no circumstances shall the tokens be reoffered, resold or transferred within the United States or to, or for the account or benefit of, U.S. persons, except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the U.S. Securities Act of 1933, as amended. Any public offering of the tokens to be made in the United States will be made by means of a prospectus that may be obtained from the issuer or the selling digital asset holder and that will contain detailed information about the company and management, as well as financial statements.

Third Party Rights. Except as expressly provided in these Gate Travel Terms, a person who is not a party to these Gate Travel Terms shall not have any rights to enforce any term of these Gate Travel Terms. Notwithstanding any term of these Gate Travel Terms, the consent of or notice to any person who is not a party to these Gate Travel Terms shall not be required for any termination, rescission or agreement to any variation, waiver, assignment, novation, release or settlement under these Gate Travel Terms at any time.

Final Decision. For any matters not covered by these Gate Travel Terms, we reserve the sole and final discretion of final interpretation to the maximum extent permitted by applicable laws.
